General Service Terms

These service terms describe general expectations for advisory, diagnostic, workshop, workflow, AI adoption, and operational improvement support. Specific terms for a paid engagement should be confirmed in writing.

1. Scope of work

Services may include discovery calls, paid diagnostics, workflow mapping, bottleneck analysis, AI ROI planning, pilot scoping, measurement planning, documentation, workshops, implementation support, and executive advisory work.

The exact scope, deliverables, assumptions, exclusions, timelines, and responsibilities should be set out in a proposal, statement of work, invoice, engagement letter, or other written confirmation.

2. Written engagement terms take priority

If a proposal, statement of work, invoice, engagement letter, or other written agreement includes terms that differ from this page, those written engagement terms should apply to that specific engagement.

This page is intended to provide general public-facing terms, not to replace the specific terms needed for larger, complex, regulated, or higher-risk work.

3. Fees, taxes, and payment timing

Fees, payment timing, accepted payment methods, deposits, retainers, milestone payments, and applicable taxes will be identified in the relevant proposal, invoice, or engagement confirmation.

Unless stated otherwise, quoted fees do not include applicable GST/HST, PST, or other taxes that may apply. Payment is due according to the timing stated on the invoice or written engagement terms.

4. Client responsibilities

You are responsible for providing accurate information, timely responses, access to relevant documents or systems, appropriate decision-maker participation, and internal review of drafts, assumptions, recommendations, and deliverables.

Delays in providing information, access, approvals, or feedback may affect delivery timing, project quality, fees, or the ability to complete the work as originally scoped.

Scheduling and payment expectations

Refunds, cancellations, and rescheduling

Service type General approach
Free discovery calls Free discovery calls may be rescheduled or cancelled. If you can no longer attend, please provide as much notice as possible so the time can be made available for others.
Paid advisory or diagnostic sessions Unless the written terms say otherwise, please provide at least 48 hours’ notice to reschedule or cancel a paid session. Late cancellations, missed appointments, or same-day changes may be charged in full or treated as completed bookings.
Workshops Workshops usually require preparation, scheduling, and reserved time. Unless the written terms say otherwise, please provide at least 7 business days’ notice for cancellation or major rescheduling requests.
Project work Project fees may include work already performed, preparation time, analysis, drafting, document review, tool setup, or scheduled delivery time. Fees for completed work, committed preparation, or approved milestones are generally not refundable.
Custom terms Different cancellation, refund, or rescheduling terms may be included in a proposal, engagement letter, invoice, or written confirmation. Those written terms should govern that specific engagement.

Practical intent: These terms are designed to be fair to both sides. I reserve time, preparation, and attention for client work; you should also have clear expectations before committing to a paid engagement.

Information handling

Confidentiality and use of AI tools

Confidentiality

I will treat non-public client business information shared for an engagement with reasonable care and use it for the purpose of providing the agreed services.

Confidentiality may not apply to information that is already public, independently developed, received from another lawful source, approved for disclosure, or required to be disclosed by law.

You should identify any highly sensitive, regulated, personal, restricted, or competitively sensitive information before sharing it so we can agree on appropriate handling.

Use of AI tools

Because my work involves AI adoption, workflow improvement, documentation, and ROI-focused advisory support, AI tools may be used to assist with analysis, summarization, drafting, research organization, workflow design, measurement planning, and deliverable preparation.

AI-assisted output should be reviewed, edited, and adapted before being relied on. AI tools may produce incomplete, outdated, inaccurate, or unsuitable output, and final business decisions remain your responsibility.

If you have restrictions on AI tool use, data residency, confidentiality, privacy, procurement, or security, those restrictions should be discussed before the engagement begins.

Data minimization: Sensitive information should be limited, anonymized, summarized, or excluded where possible unless we have agreed on a specific handling approach for the engagement.

Deliverables and work product

Ownership, use of deliverables, and third-party tools

Client use of final deliverables

After payment of applicable fees, you may use final client-specific deliverables internally for your organization’s business purposes, unless the written engagement terms say otherwise.

My pre-existing materials

I retain ownership of my pre-existing templates, methods, workflows, frameworks, prompts, document structures, know-how, examples, and general process materials, even when they are used to prepare client deliverables.

Client information

Your confidential business information remains your information. I may use general skills, experience, lessons learned, and non-confidential know-how developed through my work, provided I do not disclose your confidential information.

Third-party tools: Some work may involve tools such as email, calendar systems, cloud storage, document tools, analytics tools, payment providers, AI platforms, or other software. Third-party tools are subject to their own terms, security practices, limitations, and availability.

Project administration

Delivery timing, changes, and termination

Delivery timing

Delivery timing depends on the agreed scope, the availability of required information, review cycles, client decision-maker input, workshop scheduling, and other dependencies. Estimated timelines are not guarantees unless expressly stated in writing.

Scope changes

Requests outside the agreed scope may require revised fees, timing, deliverables, or written approval before additional work proceeds.

Termination by client

You may end an engagement in accordance with the written engagement terms. Fees may remain payable for work completed, time reserved, preparation performed, approved milestones, expenses, or non-cancellable commitments.

Termination by me

I may decline, pause, or end work where there is non-payment, lack of required participation, inappropriate conduct, unmanaged risk, conflict of interest, unlawful requests, or a material change in scope or working conditions.

Boundaries and responsibility

Limits, outcomes, and liability

No guaranteed business outcome

My work is designed to help you identify bottlenecks, clarify priorities, improve workflows, use AI more effectively, and measure practical operating impact. I do not guarantee specific revenue, profit, cost savings, productivity, funding, compliance, market, operational, or technology outcomes.

Client decisions and implementation

You remain responsible for management decisions, implementation choices, employee or contractor actions, system configuration, legal compliance, financial decisions, operational controls, customer commitments, and final approval of recommendations or deliverables.

Information provided

I rely on information you provide and on information available from relevant sources at the time of the work. Incomplete, inaccurate, outdated, or delayed information may affect the usefulness of the work.

Limitation of liability

To the fullest extent permitted by applicable law, my liability for any claim relating to the website or services should be limited to the amount paid for the specific service giving rise to the claim, unless a written agreement says otherwise.

No indirect loss: To the fullest extent permitted by applicable law, I should not be liable for indirect, incidental, consequential, special, punitive, lost profit, lost revenue, lost opportunity, lost data, or business interruption damages arising from use of the website or services.
